By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Eligibility

  • You must be at least 13 years old to create an account or use the Services.
  • If you are between 13 and 18 (or the age of majority in your jurisdiction), you may use the Services only with the consent of a parent or legal guardian who agrees to be bound by these Terms.
  • By using the Services, you represent and warrant that you meet these eligibility requirements and are capable of entering into a binding contract.

2. Use of Services

Guitar Assistant provides tools and resources primarily for educational and informational purposes.

By using the Services, you agree to:

  • Use the Services solely for personal, non-commercial purposes unless otherwise authorized in writing.
  • Comply with all applicable laws and regulations.
  • Not interfere with or disrupt the functionality, security, or integrity of the Services.

3. Account Registration and Security

  • You may need to create an account to access certain features of the Services.
  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You agree to notify us immediately of any unauthorized access or breach of security involving your account.
  • We may suspend or terminate your account if we believe you have violated these Terms or engaged in abusive, fraudulent, or unlawful behavior.

4. Subscription Plans, Billing, and Refunds

Guitar Assistant may offer free and paid subscription plans. Plan details and pricing are available on our website.

  • Billing: Paid subscriptions are billed in advance on a recurring basis (monthly or annually) until canceled.
  • Auto-Renewal: Subscriptions renew automatically at the end of each billing cycle at the then-current price unless canceled beforehand.
  • Cancellation: You may cancel your subscription at any time. Your access will continue until the end of the current billing cycle.
  • Refunds: Payments are generally non-refundable unless required by applicable law.
  • Payment processing is handled by trusted third parties such as Stripe. We do not store your full credit card information.

5. Prohibited Uses

5.1 Commercial Redistribution and Resale

  • You may not resell, redistribute, or commercially exploit any content, diagrams, or tools from Guitar Assistant without written permission.
  • Bulk downloading or systematic collection of content is prohibited.
  • Creating derivative products that incorporate our diagrams or content for commercial use requires explicit written approval.

5.2 Automated Access and Data Extraction

  • You may not use bots, scrapers, crawlers, scripts, or automated tools to access or extract content from Guitar Assistant unless explicitly allowed via an approved API.
  • Manual or automated bulk retrieval of content is prohibited without authorization.
  • API access, if offered, must comply strictly with our published rate limits and guidelines.

5.3 Illegal or Harmful Conduct

  • You may not use the Services for any unlawful purpose.
  • You may not upload content that is defamatory, obscene, hateful, harmful, or otherwise inappropriate.
  • You may not upload content that violates intellectual property rights or privacy laws.
  • You may not attempt to bypass technical protections or gain unauthorized access to systems.

6. User-Generated Content

Guitar Assistant allows users to generate and store content such as chord diagrams, scale charts, practice logs, collections, notes, and other musical data ("User Content").

  • You retain full ownership of your User Content.
  • By using the Services, you grant us a worldwide, non-exclusive, royalty-free, transferable license to host, store, display, reproduce, and process your User Content as needed to operate and improve the Services.
  • You represent that you own or have rights to any User Content you upload and that it does not violate any third-party rights or laws.
  • We may remove or restrict access to User Content that violates these Terms, though we are not obligated to monitor all user activity.

7. Intellectual Property Rights

All content on Guitar Assistant—including text, images, diagrams, generated charts, software, and code—is owned by Think Big Software LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

  • Guitar Assistant® and associated logos are registered trademarks of Think Big Software LLC.
  • You may not copy, modify, distribute, publicly display, or create derivative works of the Services without express written permission.

8. Affiliate Links and Third-Party Content

The Services may contain links to third-party websites or products, including affiliate links. We may earn a commission if you click or purchase through these links, at no additional cost to you.

We are not responsible for the content, policies, or practices of third-party websites. Your use of third-party sites is at your own risk.

9. Service Modifications and Availability

  • We may modify, update, suspend, or discontinue any part of the Services at any time with or without notice.
  • We do not guarantee that the Services will be uninterrupted, error-free, secure, or always available.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee specific improvements in musical ability, performance, or outcomes.

To the extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, title, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Think Big Software LLC and Guitar Assistant will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from your use of the Services.

Our total liability for any claim will not exceed:

  • The amount you paid to us in the 12 months preceding the claim, OR
  • One hundred U.S. dollars (US $100), whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Think Big Software LLC and its affiliates from:

  • Any claims related to your use of the Services;
  • Any content you upload, submit, or share;
  • Your violation of these Terms or any law;
  • Your infringement of any third-party rights.

13. DMCA and Copyright Complaints

If you believe your copyright has been infringed, you may submit a DMCA notice including:

  • Your contact information;
  • A description of the copyrighted work;
  • The exact URL where the infringing material appears;
  • A statement of good-faith belief that the use is unauthorized;
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf;
  • Your physical or electronic signature.

14. Termination

  • We may suspend or terminate your access to the Services at any time for violations of these Terms or for any conduct that we determine to be harmful.
  • Upon termination, your access to the Services will cease, and you must stop using any downloaded or saved content obtained through Guitar Assistant.

These Terms are governed by the laws of the state of Connecticut, United States, without regard to conflict-of-law rules.

Any disputes will be resolved exclusively in the state or federal courts located within Connecticut.

16. Changes to These Terms

We may update these Terms from time to time. The “Effective date” will reflect the most recent version. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
